Welcome to the Velladin Vendor App (“Platform”), operated by Velladin (“we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your use of the Vendor App and services provided through it.

By registering as a vendor and using the platform, you agree to comply with and be bound by these Terms.

1. Eligibility

To use the Velladin Vendor App, you must:

Be at least 18 years old
Provide accurate and complete business information
Have the legal authority to operate your business

We reserve the right to approve or reject any vendor application at our discretion.

2. Vendor Account
You are responsible for maintaining the confidentiality of your account credentials
All activities under your account are your responsibility
You must notify us immediately of any unauthorized access

We may suspend or terminate accounts that violate these Terms.

3. Product Listings

Vendors agree that:

All products listed must be legal, safe, and accurately described
Prices must be clear and inclusive of applicable charges (except platform-calculated fees)
Images must represent the actual product

We reserve the right to remove or restrict any product that:

Violates laws or regulations
Is misleading or fraudulent
Is out of stock but still listed as available
4. Order Fulfillment
Vendors must fulfill orders promptly and within the agreed timeframe
Items must match the description and quality listed
Vendors must communicate any stock issues immediately

Failure to fulfill orders may result in penalties, reduced visibility, or suspension.

5. Pricing & Fees

Velladin may apply:

Service charges
Commission fees per order
Delivery-related fees (calculated by the platform)

All applicable fees will be clearly communicated within the app.

6. Earnings & Payments
Vendors earn revenue from completed and delivered orders
Payments may be subject to deductions (commissions, refunds, penalties)
Withdrawals can be requested through the app
Processing times for withdrawals may vary

We reserve the right to hold payments in cases of disputes, fraud, or policy violations.

7. Cancellations & Refunds
Vendors must honor valid cancellations and refund requests
Refunds may be initiated due to:
Incorrect items
Damaged products
Failed deliveries

Repeated issues may affect vendor status.

8. Vendor Responsibilities

Vendors agree to:

Maintain accurate inventory levels
Provide good customer service
Comply with all applicable laws and regulations
Avoid fraudulent or deceptive practices
9. Prohibited Activities

Vendors must not:

Sell illegal, counterfeit, or restricted items
Manipulate prices or orders
Use the platform for fraudulent activities
Circumvent platform fees or processes

Violations may result in immediate suspension or legal action.

10. Ratings & Reviews
Customers may rate and review vendors
Reviews must not be manipulated or falsified
Poor performance may impact visibility or lead to removal
11. Suspension & Termination

We may suspend or terminate your account if you:

Violate these Terms
Receive repeated complaints
Engage in fraudulent or harmful behavior

You may also request account closure at any time.

12. Limitation of Liability

Velladin is not liable for:

Loss of profits or business
Delays caused by logistics or third parties
Customer disputes beyond platform control

The platform is provided “as is” without guarantees.

13. Modifications

We may update these Terms at any time. Vendors will be notified of significant changes. Continued use of the platform means acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by the laws of Ghana.
